The Competition Tribunal has unconditionally approved the proposed merger in which MMG Singapore Resources PTE. Ltd (“MMG Singapore”) will acquire Anglo American Níquel Brasil LTDA (“Anglo Nickel Brazil”) and the ferronickel marketing and sales function (“Nickel Sales Function”) of Anglo American Marketing Limited (“AAML”) from AAML and Ambras Holdings Limited (“Ambras”).  

 

Post-merger, MMG Singapore will gain sole control over both Anglo Nickel Brazil and the Nickel Sales Function.

 

MMG Singapore, a private firm based in Singapore, is wholly owned by MMG Limited, a Hong Kong firm ultimately controlled by China Minmetals Corporation, a Chinese state-owned enterprise. Globally, the acquiring group (including MMG Singapore, its parent and related entities) is a Chinese enterprise specialising in the exploration, extraction, production, and trading of metals and minerals. While it does not produce or trade Ferronickel (“FeNi”), it is involved in stainless steel manufacturing in China and in the mining and trading of chrome ore and ferrochrome chrome. Its South African activities are conducted through MMG South African Management (Pty) Ltd.

 

Anglo Nickel Brazil, a Brazilian firm ultimately controlled by UK-based Anglo American Plc, produces FeNi primarily for stainless steel manufacturing. It does not control any firms in South Africa. The Nickel Sales Function serves as the nickel marketing arm of AAML and derives turnover from South Africa through FeNi sales to a single customer.
