The Tribunal has unconditionally approved the merger in which Agrifriend Equipment (Pty) Ltd, trading as Senwes Equipment (“Senwes”), will acquire the business of AMC Equipment (Pty) Ltd (“the target business”). Once the transaction is completed, Senwes will have sole control of the target business.
Senwes supplies agricultural, construction, forestry, residential, golf and turf equipment, as well as related implements. It also provides after-sales services such as maintenance and spare parts. Of particular relevance to the merger, Senwes holds equipment dealership agreements exclusively with John Deere ands operates across various provinces.
The target business supplies new and used agricultural, forestry and construction equipment, precision agriculture technology, parts, maintenance, after-sales services and financing solutions. It also holds equipment dealership agreements exclusively with John Deere and runs several dealerships. The acquisition includes the target business’s staff, operating systems, customer data, selected working capital and workshop facilities.
