Trustees for the time being of the Jannie Mouton Stigting and Curro Holdings Limited

The Competition Tribunal (“Tribunal”) has approved the merger in which the Trustees for the time being of the Jannie Mouton Stigting (the “Trust”) will acquire all the issued shares of Curro Holdings Limited (“Curro”) which are not already owned by it.

The Tribunal has approved the merger subject to a set of public interest undertakings.  

The Trust is a charitable foundation focused on investing funds to support bursaries, study grants, community development and poverty alleviation in South Africa.

The Curro Group is an independent group of private schools offering private education from early childhood development (Grade R) to Grade 12. Its schooling models offer a range of curricula and learning environments, including online learning as well as pre-school programmes.

Dorpstraat Capital Growth Fund (Pty) Ltd and Property House Group Investments (Pty) Ltd And  Accelerate Property Fund Limited in respect of the letting enterprise known as the ‘Buzz Shopping Centre’ and the ‘Waterford Shopping Centre’

The Tribunal has approved the merger in which Dorpstraat Capital Growth Fund (Pty) Ltd (“Dorpstraat Capital”) and Property House Group Investments (Pty) Ltd (“PHG Investments”) will acquire shares in the letting enterprises known as the Buzz Shopping Centre and the Waterford Shopping Centre from Accelerate Property Fund Ltd (“Accelerate”).

Dorpstraat Capital is a property investment firm, while PHG Investments operates as a property investment and development firm with a focus on the retail, commercial and industrial sectors. Accelerate is a Real Estate Investment Trust (“REIT”) registered on the Johannesburg Securities Exchange.

The Buzz Shopping Centre and the Waterford Shopping Centre are both classified as retail neighbourhood centres and are located in Sandton, Gauteng.

Shalcap PA Holdco (Pty) Ltd and  Process Automation (Pty) Ltd

The Tribunal has approved the merger in which Shalamuka Capital 4 (Pty) Ltd (“Shalamuka”), through a series of interrelated steps, will acquire shareholding in Process Automation (Pty) Ltd (“Process Automation”). Following the implementation of the transaction, Shalamuka will exercise joint control over Process Automation.

The primary acquiring firm is Shalcap PA Holdco (Pty) Ltd (“NewCo”), a newly incorporated South African investment vehicle controlled by Shalamuka. The acquiring group is an investment holding group.

Process Automation designs, manufactures and supplies high-precision measurement and control instrumentation equipment predominantly for mining operations across Africa.
