The Competition Tribunal has unconditionally approved the proposed merger wherein Grindrod Holdings (South Africa) (Pty) Ltd (“Grindrod Holdings”) intends to acquire shares in Grindrod Rail Consultancy Services (Pty) Ltd (“GRCS”), thereby shifting from joint to sole control over GRCS.

 

The acquiring group (all the firms controlled by Grindrod) is primarily active in the market for the provision of freight and logistics services. In this regard, it sells products and renders services through two main segments, namely: (i) Port and Terminals (which manages investments); and (ii) Logistics (which involves logistics solutions across the supply chain for the delivery of cargo).

 

GRCS is active in the provision of: (i) rail consultancy services; (ii) rolling stock and locomotive advice, services and maintenance; and (iii) rolling stock and locomotive management and leasing services.
