Shoprite Checkers (Pty) Ltd And Main Street 1883 (Pty) Ltd
 
The Tribunal has unconditionally approved the large merger whereby Shoprite Checkers (Pty) Ltd (“Shoprite”) intends to acquire shares in Main Street 1883 (Pty) Ltd (“Main Street”). Post-merger, Shoprite and RTT Group (Pty) Ltd will jointly control Main Street.
 
The acquiring group retails and distributes a wide range of fast-moving consumer goods through its various stores and supermarkets across South Africa. The products include groceries, food, household, health, beauty, lifestyle consumer products, clothing, home ware, textiles, and cellular telephone products. Of relevance to this merger is the acquiring group’s Checkers Sixty60 (“Sixty60”) activities. Sixty60 is an online store platform which enables customers to order groceries and general merchandise from Checkers stores.
 
Main Street provides on-demand delivery services (i.e. the collection of an online order placed by a customer and delivery of the customer’s order) to online shopping platforms such as the Sixty60 platform and other merchants. Main Street only renders on-demand delivery services and is itself not an online shopping platform.
