OUTCOME OF MERGER DECIDED BY THE TRIBUNAL

Large merger South African Gas Development Company SOC Ltd and Companhia Moçambicana de Gasoduto S.A. And Republic of Mozambique Pipeline Investments Company (Pty) Ltd Approved without conditions
The Tribunal has unconditionally approved the large merger wherein South African Gas Development Company SOC Ltd (“iGas”) and Companhia Moçambicana de Gasoduto S.A. (“CMG”) intend to increase their existing shareholding in Republic of Mozambique Pipeline Investments Company (Pty) Ltd (“ROMPCO”) by each acquiring additional issued share capital of ROMPCO from Sasol South Africa Limited (“Sasol SA”).
 
iGas is wholly owned by Central Energy Fund Group (“CEF Group”), which is ultimately owned and controlled by the South African Government. The CEF Group is a state-owned diversified energy company reporting to the Department of Mineral Resources and Energy. Its mandate is to contribute to the security of energy supply in South Africa.
 
CMG is controlled by Empresa Nacional de Hidrocarbonetos De E.P. (“ENH”) which is owned by the Mozambican State. CMG's main objective is the provision of transport services for natural gas and other hydrocarbons through gas pipelines and related activities.
 
ROMPCO owns and operates a pipeline which transports natural gas from Mozambique to Sasol SA's operations in Secunda.
