In terms of the sale of shares agreement, Shoprite intends to acquire all of the ordinary shares in the total issued share capital of the Transfarm Group, as well as all the claims and rights of whatever nature (excluding dividends declared and not yet paid) which the Trusts may have against the Transfarm Group as at a defined date.
